GTC General Terms and Conditions of SF-Filter AG, hereinafter referred to as "SF-Filter"
Scope of application
The following "General Terms and Conditions" apply exclusively to all our offers, sales and services in Germany and FL. They form an integral part of the contractual relationship. Deviating or additional terms and conditions shall only be recognised if they have been expressly agreed in writing.
Quotations
Quotations as well as illustrations, material and dimensional specifications in brochures and catalogues are non-binding. Quotations without a validity period are subject to change. If a validity period is noted in an offer, the offer is binding as long as the order is received by us within this period.
Order/delivery deadlines
All verbal and written orders shall be deemed to have been accepted when they have either been delivered or confirmed by "SFFilter". SF-Filter" is entitled to make partial deliveries at any time, depending on the availability of the goods. Cancellations and claims for damages in the event of any delays in delivery or complete non-delivery are not permitted.
Prices
Unless otherwise agreed, the prices valid on the order date shall apply. "SFFilter" expressly reserves the right to adjust prices at any time. For orders under the minimum order value of € 50.00 we charge a minimum quantity surcharge plus VAT.
Dispatch
Delivery is ex Immendingen. The customer bears the transport risk for all deliveries. Benefit and risk are transferred to the customer at the latest when the delivery leaves our warehouse. This also applies to partial deliveries. "SF-Filter" can refuse deliveries if there are outstanding, due claims against the customer.
Sample, trial or inspection consignments
Sample, trial and inspection consignments are generally invoiced. Special agreements are excluded. If returned within 2 months, a corresponding credit note will be issued, depending on the condition of the returned goods.
Payment
Our invoices are payable within 30 days of the invoice date, net, without any deductions. Exceptions to this are special agreements made in writing. The separately agreed terms of delivery for machines and systems shall apply to systems worth € 30,000.00 net or more: one third down payment within one month of receipt of the order confirmation by the customer - one third upon expiry of two thirds of the delivery period - the remaining amount within one month of notification of readiness for dispatch by the supplier. Deviating terms of payment require the express written consent of "SF-Filter". All delivered products remain the property of "SF-Filter" until full payment has been received. The retention, offsetting or reduction of payments as a result of a notice of defects, delay in delivery or a counterclaim not recognised by us are not permitted.
Notification of defects
Notification of defects and complaints by the customer must be made to the supplier immediately, but at the latest within 8 days of receipt of the goods.
Guarantee/warranty
The guarantee period is 12 months after notification of readiness for dispatch. The warranty obligation shall lapse in the event of damage resulting from non-observance or non-performance of maintenance and inspection work or in the event of defects attributable to improper storage, disregard of the operating instructions, incorrect operation, excessive use, insufficient maintenance, natural corrosion and/or other reasons. SF-Filter" cannot be held liable for consequential damage of any kind. Mobile filtration: "SF-Filter" guarantees the quality of all filters supplied by it and is liable for engine damage within the scope of the applicable statutory provisions, provided that the sole cause of the defect can be proven to be a filter supplied by "SF-Filter". The warranty shall expire prematurely if the customer or a third party carries out repair work on the goods without the prior written consent of "SF-Filter". The defect shall be remedied at the discretion of "SF-Filter" by repair or replacement. Except in cases in which the customer or a third party has been authorised or commissioned in writing by "SF-Filter" to carry out the repair work, the supplier is not obliged to bear the installation and removal costs. If instructions or directions from "SF-Filter" are carried out incorrectly by the customer or a third party, any liability of the supplier is excluded. Any damage must be reported within 24 hours and/or the faulty filter including the replaced spare parts must be made available for inspection within 8 days. Industrial filtration: The separately agreed warranty provisions apply to industrial filters, machines and systems.
Return of goods
The customer has no claim to the return of goods duly delivered by us. Any return requires our express consent. Only goods and packaging in perfect condition will be taken back. A deduction will be made for processing and restocking costs.
Place of fulfilment, place of jurisdiction and applicable law
The place of fulfilment and place of jurisdiction for both contractual partners is Immendingen. However, "SF-Filter" reserves the right to assert its claims at any other competent court. German law applies. The German version of the GTC is authoritative.
